ORDINANCE NO. O-17-25
Authorizing Project Agreement and Warrant for AJM, LLC Gadsden AL
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF GADSDEN (the “City Council”), WHICH IS THE GOVERNING BODY OF THE CITY OF GADSDEN, ALABAMA (the “City”), as follows:
1.
The City has heretofore, upon evidence duly presented to and considered by it, found and determined, and does hereby find, determine and declare that:
(a)AJM, LLC Gadsden AL, an Illinois series limited liability company (the “Company”) proposes to develop retail and services facilities (the “Project”) to be constructed and located within the municipal limits of the City, as outlined in the Project Agreement referred to below.
(b)The City has authority under Section 28-4.01 of Article 1 of Chapter 4 of Title 28 of the Local Provisions of the Constitution of Alabama of 2022 (also cited as Amendment No. 761 to the Alabama Constitution of 1901) (the “Economic Development Amendment”), to promote economic development in the City and to promote commercial development in the location of new businesses in the City and to lend its credit and grant public money to any person whatsoever.
(c)The City and the Company propose to enter into a project development agreement (the “Project Agreement”) relating to the Project. The Project Agreement provides for, among other things, issuance of a warrant (the “Warrant”) to the Company, as described and subject to the terms of the Project Agreement. The Warrant will evidence the City’s obligations under the Project Agreement to pay to the Company, for a certain period of time, a portion of the sales tax revenues generated from the Project, all as described more particularly in the Project Agreement.
(d)In furtherance of the objective of the Economic Development Amendment to create new jobs in the City, to generate additional tax revenues for the City, to increase commerce in the City, and generally to promote the economic development of the City, the City has agreed to enter into the Project Agreement and to issue the Warrant.
(e)
The City has determined that entering into the Project Agreement and issuance of the Warrant are necessary and desirable and in the best interests of the taxpayers and citizens of the City to accommodate and provide for increases in economic activity in the City and to provide for increases in tax revenues for the City.
(f) The City acknowledges and agrees the Project will significantly increase the tax and revenue base of the City.
(g) Entering into the Project Agreement and issuance of the Warrant will benefit the Company or companies affiliated with the Company. Pursuant to the Economic Development Amendment, the City Council does hereby find, determine and declare that the expenditure of public funds in connection with entering into the Project Agreement and issuance of the Warrant will serve a valid and sufficient public purpose, notwithstanding any incidental benefit accruing to the Company, companies affiliated with the Company, or any other private entity or entities.
2. The City does hereby approve, adopt, authorize, direct, ratify and confirm the terms and provisions of, and the transactions to be undertaken pursuant to, the following documents:
(a) The Project Agreement in form and content as attached hereto as Exhibit A.
(b) The Warrant, as provided in the Agreement
(c)All agreements, contracts, documents, instruments and notices as shall be required by the terms of, or otherwise necessary or desirable to carry out the provisions and purposes of, the Project Agreement and the Warrant.
3. The documents described in this ordinance (herein collectively the “Documents”) are approved in substantially the form and of substantially the content as the Documents presented to and considered by the City Council, with such changes or additions thereto or deletions therefrom as the officer of the City executing those of the Documents to which the City is a party signatory thereto (herein collectively the “City Documents”) shall approve, which approval shall be conclusively evidenced by execution of the City Documents by such officer as hereinafter provided.
4.The Documents presented to, considered and adopted by the City Council shall be filed in the permanent records of the City.
5. The Mayor is hereby authorized and directed to execute, acknowledge and deliver the City Documents for and on behalf of and in the name of the City. The City Clerk is hereby authorized and directed to attest the same. The City Clerk is hereby authorized and directed to register the Warrant as a conditional claim against the Warrant Fund referenced in the Warrant.
6. The officers of the City, or any one or more of them, are hereby authorized and directed to do and perform or cause to be done or performed in the name and on behalf of the City such other acts, and execute, deliver, file and record such other instruments, documents, certificates, notifications and related documents, all as shall be required by law or necessary or desirable to carry out the provisions and purposes of this ordinance and the Documents.
7. The City agrees that, before the issuance of the Warrant, the City shall file a petition in the Circuit Court of Etowah, Alabama under Article 17 of Chapter 6 of Title 6 of the Code of Alabama (1975) against the taxpayers and citizens of the City of Gadsden, Alabama, to determine the City’s authority to issue the Warrant and the legality of all proceedings had or taken in connection therewith, the validity of the means of payment thereof and the validity of all pledges of revenues and of all covenants and provisions pursuant thereto.
8.
The Mayor and the City Clerk are further authorized to retain the services of Maynard Nexsen PC to act as counsel to the City in connection with the entering into the Project Agreement, the issuance of the Warrant, and the prosecution of the proceedings to validate the Warrant in Etowah Circuit Court.
9. The officers of the City and any person or persons designated and authorized by any officer of the City to act in the name and on behalf of the City, or any one or more of them, are authorized to do and perform or cause to be done and performed in the name and on behalf of the City such other acts, to pay or cause to be paid on behalf of the City such related costs and expenses, and to execute and deliver or cause to be executed and delivered in the name and on behalf of the City such other notices, requests, demands, directions, consents, approvals, orders, applications, certificates, agreements, amendments, further assurances, or other instruments or communications, under the corporate seal of the City, or otherwise, as they or any of them may deem necessary, advisable, or appropriate in order to carry into effect the intent of the provisions of this ordinance.
10.Each act of any officer or officers of the City or any person or persons designated and authorized to act by any officer of the City, which act would have been authorized by the foregoing provisions of this ordinance except that such action was taken prior to the adoption of this ordinance, is hereby ratified, confirmed, approved and adopted.
11. This ordinance shall take effect immediately and all ordinances, resolutions, orders, or parts thereof in conflict or inconsistent with any provision herein hereby are, to the extent of such conflict or inconsistency, repealed.

Any bidder, whether a resident or non-resident of the State of Alabama, must comply with all applicable provisions of Section 34-8-1, et. seq., Code of Alabama, 1975, including requirements for licensing as a general contractor and the necessity to show evidence of license before the bid will be considered by the awarding authority. A current license number must be included on the bid.
This is a tax-exempt contract.
Bidders must comply with the President’s Nos. 11246 and 11375, which prohibit discrimination in employment regarding race, creed, color, sex, or national origin. Bidders must also comply with Title IV of the Civil Rights Act of 1964, Title VIII of the Civil Rights Act of 1968, and Section III of the Housing and Urban Development Act of 1968, as amended, 12 U.S.C. 170lu.
By signing this contract, the contracting parties affirm, for the duration of the agreement, that they will not violate federal immigration law or knowingly employ, hire for employment, or continue to employ an unauthorized alien within the state of Alabama. Furthermore, a contracting party found to be in violation of this provision shall be deemed in breach of the agreement and shall be responsible for all damages resulting therefrom.
Bidders must certify that they do not and will not maintain or provide for their employees any facilities that are segregated on a basis of race, creed, color, sex, or national origin. Bidders must also certify they will make facilities handicap accessible to the extent required by law.
