The apparent low bidder will be required to submit their list of subcontractors within two days of the bid opening date to confirm compliance with the experience and qualification requirements listed in the technical specifications of each applicable trade before being considered for award.

The successful bidder will be required to furnish and pay for the satisfactory Performance and Payment Bond or Bonds in the amount required by Section 39-1-1(a), Code of Alabama 1975, and evidence of insurance as required by the bid documents within ten (10) days after being notified that he has been awarded the contract.

No bidder may withdraw his bid within six (60) days after the actual date of the opening thereof. The bidder must comply with all requirements of the public works bid law Section 39-2-1 et seq., Code of Alabama 1975.

The Owner reserves the right to reject any or all bids and to waive any informalities and to award the contract to the lowest, responsible, responsive bidder. All bidders must comply with the requirements of the Contractor’s Licensing Law of the State of Alabama and be certified for the type work on which the proposal is submitted.

Any bidder, whether a resident or non-resident of the State of Alabama, must comply with all applicable provisions of Section 34-8-1, et.seq., Code of Alabama, 1975, including requirements for licensing as a general contractor and the necessity to show evidence of license, before the bid will be considered by the awarding authority. A current license number must be clearly displayed on the outside of the sealed envelope in which the construction proposal is submitted.

Bidders must comply with the President’s Nos. 11246 and 11375 which prohibit discrimination in employment regarding race, creed, color, sex, or national origin. By signing this contract, the contracting parties affirm, for the duration of the agreement, that they will not violate federal immigration law or knowingly employ, hire for employment, or continue to employ an unauthorized alien within the state of Alabama. Furthermore, a contracting party found to be in violation of this provision shall be deemed in breach of the agreement and shall be responsible for all damages resulting therefrom.

Ordinance Establishing Gadsden Arts Council

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF GADSDEN, ALABAMA as follows:

Section 1.

There is hereby created and established in the City of Gadsden, Alabama, a board to be known as the Gadsden Arts Council, which shall consist of seven members with a record of experience, or credentials, demonstrating familiarity with the arts, appointed by the mayor and approved by the city council, whose appointments and terms shall be as follows:

Of the members first appointed, three members shall serve a term of two years; two members shall serve a term of three years; and two members shall serve for a term of four years. Thereafter, the term of all appointed members shall be four years. Vacancies shall be filled for the unexpired term. Members shall continue to serve past his/her term until re-appointed or replaced.

The board’s makeup should generally represent the diversity of the community to ensure a variety of arts-related perspectives are represented among its members.

Section 2.

Four members of the Board shall constitute a quorum for the transaction of business. No member shall act in any case in which he/she has a personal financial interest. Actions of the Board shall be by a majority of those present.

Section 3.

The purpose of the Board is to advance and enrich the Arts by providing financial support, patronage, and recognition of multidisciplinary artistic endeavors. The Gadsden Arts Council shall serve as a coordinating, promotional, and supporting body between such artistic institutions of the city as the Gadsden Museum of Art, the Gadsden Cultural Arts Foundation, the Walnut Gallery, the Theatre of Gadsden, the Mort Glosser Amphitheater, and all variations of artistic endeavors and institutions. As such, the Board shall regularly consult the advice of the Director of the Gadsden Museum of Art and other professional staff of the multiple artistic disciplines of the City of Gadsden. The Board shall have the power to conduct fundraisers and events. The Board shall have the power to support the development of public art installations, plan cultural events, and promote arts education throughout the city. The Board shall have the power and responsibility to develop and propose policies supporting an arts district in the city. They may adopt from time to time, amend and repeal by-laws, rules and regulations governing Board actions, provided, however, that such by-laws and rules and regulations are not in conflict with this ordinance or any laws of the State. They shall have the power to appoint officers, to make contracts, and to execute all instruments necessary or convenient for the furtherance of the purposes for which the Board shall be created; to arrange, sponsor, and conduct programs and exhibits for the advancement of the cultural, civic, and scientific interest and welfare of the citizens of the city, and for the advancement of the humanities; to promote, sponsor, and operate exhibitions and recreational activities; to charge fees for admission; to accept or receive in the name of the City gifts, bequests, and devises; and to do all things necessary or convenient to carry out the powers explicitly given herein. The Board shall have no power or authority to obligate the City beyond the amount appropriated by the City Council for its purpose.

Section 4.

The members of the Board shall, in accordance with the by-laws of the Board, elect one (1) of their number as Chairperson, one (1) of their number as Vice Chairperson, one (1) of their number as Secretary, and one (1) of their number as Treasurer. Officers shall be entitled to succeed themselves. Vacancies shall be filled by the Board for the unexpired term.

Section 5.

The members of the Board shall receive no compensation whatever for their services, nor shall they receive compensation or per diem for attending meetings; provided, however, that actual and necessary expenses, in amounts no greater than those appropriated by the City Council, incurred in the performance of their duties, may be paid.

Section 6.

The Board shall submit to the mayor, a quarterly written report of its activities.
