Notice is hereby given that a Complaint (the “Complaint”) and an Amended Complaint (the “Amended Complaint”) have been filed in the Circuit Court of Etowah County, Alabama (the “Court”) under the provisions of Article 7 of Chapter 81 of Title 11 of the Code of Alabama (1975), as amended (§§ 11-81-220 et seq.), requesting the Court to validate and confirm the proposed issuance by The Etowah County Mega Sports Complex Capital Improvement Cooperative District (the “District”) of its revenue bonds in a principal amount not to exceed $10,000,000 (the “Bonds”).

The proceeds of the Bonds proposed to be issued will be applied (a) to finance or refinance the acquisition, construction, and equipping of a sports complex and related recreational facilities in Etowah County (the “Project”) and (b) to pay the costs of issuance of the Bonds.

The Board of Directors of the District duly authorized a Bond Resolution (the “Resolution”) approving the execution and delivery of the following documents:

a. Trust Indenture (the “Indenture”) between the District and Regions Bank, as trustee (the “Trustee”);

b. Lease Agreement (the “Lease Agreement”) between the District and The Etowah County Mega Sports Complex Authority (the “Authority”);

c. Guaranty Agreement (the “Bond Guaranty”) between the Trustee and the Authority;

d. Bond Purchase Agreement (the “Bond Purchase Agreement”) between the District, the Authority, and Stifel, Nicolaus & Company, Incorporated (the “Underwriter”);

e. Preliminary Official Statement (the “Preliminary Official Statement”);

f. a Continuing Disclosure Agreement (the “Continuing Disclosure Agreement”) of the Authority;

The Authority will pledge to the payment of its rental obligations (a) all T.V.A. payments in lieu of taxes paid to the Authority pursuant to Section 45-28-220.03 of the Code of Alabama (1975), (b) all sale and use taxes paid to the Authority pursuant to Section 45-28-244.01 of the Code of Alabama (1975), (c) all lodging taxes paid to the Authority pursuant to Section 45-28-91.02 of the Code of Alabama (1975), and (d) all state transient occupancy taxes paid to the Authority pursuant to Section 45-28-243.02 of the Code of Alabama (1975) (the “Pledged Taxes” and the “Pledge Taxes Act”).

The Bonds will be limited obligations of the District, payable from and secured by a pledge of “Trust Estate,” which will include all revenues from the Pledged Taxes.  The Bonds will also be secured by all moneys on deposit in certain funds and accounts established under the Indenture (the “Indenture Funds”).  Pursuant to the Indenture, the Pledged Taxes and the Indenture Funds will be pledged to pay the debt service on the Bonds. 

The Bonds will be issued in one series, the “Revenue Bonds, Series 2021A.”  The Bonds will bear interest at rates not to exceed 5.00% per annum.  Interest on the Bonds will be payable on June 1 and December 1 of each year.  The Bonds will mature on or before June 1, 2051.  The Bonds will be subject to redemption prior to maturity in accordance with the Indenture.  Payment of interest due on the Bonds will be made by wire transfer to the persons entitled thereto at their addresses appearing on the bond register.  Payment of the principal of the Bonds due upon redemption or maturity shall be made by wire transfer to the persons entitled thereto at their addresses appearing on the bond register. 

The Court has issued an Order against the taxpayers and citizens of Etowah County, Alabama, requiring them to show cause, if any they have, at a hearing of said Complaint and Amended Complaint to be held at the Etowah County Courthouse in Gadsden, Alabama, on the 16th day of September, 2021, at 1:30 p.m. in the Courtroom of the Honorable William B. Ogletree, why the Bonds, the means provided for the payment of the Bonds, the use of the proceeds of the Bonds, the Resolution and documents approved therein, and other provisions, covenants, and agreements referred to in said Complaint and Amended Complaint should not be validated and confirmed.
