Less and except any easements or right-of-way, and being a portion of the NE 1/4 of Section 13, Township 10 South, Range 5 East of the Huntsville Meridian, Etowah County, Alabama.

Should a conflict arise between the property address and the legal description the legal de-scription will control.

Sealed proposals for this project shall be received by Mr. Jeff Colegrove, Superintendent, Attalla City Schools, 101 Case Avenue Southeast, Attalla, AL 35954, until 2:00 PM Central Time, Tuesday, February 6, 2024, then opened and read aloud.

General Contractors bidding on this project are required to visit the site to examine all existing conditions prior to submitting their proposal, which shall be arranged by the contractor with the school.

The project shall be bid excluding taxes. Bids must be submitted on proposal forms furnished by the Architect or copies thereof.  No bid may be withdrawn after scheduled closing for receipt of bids for a period of ninety (90) days. The Owner reserves the right to reject any or all proposals and to waive technical errors if, in the Owners judgment, the best interests of the Owner will thereby be promoted.

A certified check or Bid Bond payable to Attalla City Schools in an amount not less than five percent (5%) of the amount of the bid, but in no event more than $10,000.00 must accompany the bidder’s sealed proposal. Performance and statutory labor and material payment bonds will be required at the signing of the Contract.

All bidders bidding in amounts exceeding that established by the State Licensing Board for General Contractors must be licensed under the provisions of Title 34, Chapter 8, Code of Alabama, 1975, and must show evidence of license before bidding or bid will not be received or considered by the Architect. All bidders shall show such evidence by clearly displaying their current license number on the outside of the sealed envelope in which the proposal is delivered.

Neither Owner nor Engineer will be responsible for full or partial sets of Bidding Documents,  including Addenda if any, obtained from sources other than the Issuing Office.

Each proposal must be accompanied by a bid guaranty in the amount of five (5) percent of the total amount  of the bid, but not to exceed $50,000. The bid guaranty may be by certified check or bid bond made  payable to the Gadsden Airport Authority.

All Bidders bidding in amounts exceeding that established by the State Licensing Board for General  Contractors must be licensed under the provisions of Title 34, Chapter 8, Code of Ala-bama, 1975, and must  show evidence of license before bidding or bid will not be received or considered by the Engineer; the  Bidder shall show such evidence by clearly displaying the li-cense number on the outside of the envelope in  which the Proposal is delivered. “A contractor must have a Heavy and Railroad major license or a Heavy and  Railroad specialty license to bid as prime for this project.”

Bids may be held by the Gadsden Airport Authority for a period not to exceed ninety (90) days from the  date of the bid opening for the purpose of evaluating bids prior to award of contract.

Award of contract is subject to requirements in the contract documents including, but not lim-ited to, the  following Federal provisions:

ORDINANCE NO. O-07-24

Amending City Code §2-253. – Gadsden Museum of Art and History City Advisory Board   

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF GADSDEN, ALABAMA, as follows:

Section 1. Section 2-253 of the Gadsden City Code is amended to read as follows:

Sec. 2-253. Gadsden Museum of Fine Arts, Inc. (also known as “Gadsden Museum of Art and History”)

(a) Control of works of art; authority to establish museum and museum board; holding property. The management, custody and control of any sculpture, paintings, historical artifacts, and other objects of art now belonging to the city and any which the council may by resolution designate in the future are hereby placed under the control and management of the Gadsden Museum of Fine Arts, Inc. The Board shall continue to maintain the existing art museum. All property (real or personal) and any property interests accruing to the museum shall be vested in and held in the name of the City.

(b) Membership. The Board shall consist of eleven (11) members (four of whom shall be residents of the City of Gadsden), with their terms beginning upon the effective date of this ordinance. All members shall be nominated by the Membership Committee and be approved by the Mayor, with final approval by the City Council. The eleven (11) initial board members shall serve staggered terms with three initial members serving a one-year term, four initial members serving a two-year term and four initial members serving a three-year term. After the appointment of the initial Board, and the establishment of staggered terms for the initial members, subsequent terms shall be for three years or until successors are duly appointed and qualified. The initial Membership Committee shall be comprised of three members of the existing Museum Board elected by the Board.  After the effective date of this ordinance, the new Museum Board shall annually elect three members to serve as the Membership Committee.

(c) Officers; quorum. The Board shall elect a chairperson and a vice-chairperson from among its members. A majority of the Board (exclusive of any vacancies) present at any meeting shall be a quorum. The vote of the majority of the members attending any meeting at which a quorum is present shall be the action of the Board.

(d) Powers.

(1) The Board shall have the power to:

a. Do any lawful act necessary or expedient to carry out the objectives and    purposes set forth in this section.

b. Establish committees to further the legitimate goals and objectives of this section.

c. Accept donations or gifts, or loans of objects of art and items of historical significance or other property for museum use and purposes, subject to the approval of the Mayor.

d. Render advice regarding the purchase or sale of property, whether real or personal, necessary to carry out its objectives.

e. Advise on rules and regulations for the Gadsden Museum of Art, on the condition such rules and regulations are in accordance with and do not conflict with any national, state, federal, local regulation, rule or standard.

f. Accept all fees for rental of the facility and remit to the City Finance Department.

g. Accept on behalf of the City of Gadsden, all entrance fees, artist entry fees, workshop fees, and utilize same, subject to the regular review of the City, for programming, prize money, and the promotion of the Museum and the cultural life of the City.

h. Conduct fundraiser events for the benefit of the Museum.

(2) In the exercise of its powers, the Board shall have no power or authority to bind or obligate the City beyond the amount appropriated by the City Council for its purposes.

(e) Compensation of members. The members of the Board shall receive no compensation whatsoever for their services, nor shall they receive compensation or per diem for attending meetings.

(f) Ownership of assets and property. All property held or exhibited by the museum shall be the property of the City. The museum shall hold no property in its own name, for the Gadsden Museum of Fine Arts, Inc. is merely an agency of the City. The City may transfer other property for exhibition or to become part of the collection of the museum. Nevertheless, the Board is authorized to accept property on loan from individuals and entities for exhibits and displays.

(g) Museum of Fine Arts employees. All employees of the Museum of Fine Arts are City employees and shall be under the supervision and direction of the Museum Director, who shall be under the supervision and direction of the Mayor.

Section 2. The provisions of this ordinance shall be effective upon publication.

Section 3. The sections, subsections, paragraphs, sentences, clauses and phrases of this ordinance are severable.  If any section, subsection, paragraph, sentence, clause and phrase of this ordinance is declared unconstitutional or invalid by a valid judgment of a court of competent jurisdiction, such judgment shall not affect the validity of any other section, subsection, paragraph, sentence, clause and phrase of this ordinance.  The city council declares that it is its intent that it would have enacted this ordinance without such invalid or unconstitutional provisions.

Section 4. The provisions of this ordinance repeal any prior ordinance or provision of the Gadsden City Code to the extent of any conflict.
