Amending City Code Section 2-2. – City Seal
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF GADSDEN, ALABAMA, as follows: Section 1. Section 2-2 of the Code of Ordinances of the City of Gadsden is amended to read as follows: Sec. 2-2. City seal, official logo and flag.
(a)The city shall have an official seal, at the top of which, just within the margin, shall be the word “GADSDEN.” At the bottom of the seal shall be the word “ALABAMA.” On the left side shall be the abbreviation “EST.” and on the right side shall be the year “1846.” In the center of the seal shall be a replica of the Coosa River Memorial Bridge built in 1927, a replica of the Coosa River flowing through Gadsden, a replica of Noccalula Falls flowing from the mountain, and a replica of the downtown building skyline along Broad Street. Such other words, figures or objects may be engraved or placed thereon as the city council may determine.
(b)The city seal shall be affixed to all conveyances of real estate, contracts with public service corporations, authentication of copies of city ordinances, resolutions, minutes, orders, certificates, etc., and all evidences of municipal indebtedness for money borrowed; provided, however, the failure to affix the city seal shall not invalidate any transaction with or contract of the city.
(c)The city shall also have and maintain an official logo, which shall be used for establish-ing an identifiable brand for the City of Gadsden. Administration and updates to the city’s logo shall be the responsibility of the mayor, provided that any substantive changes which significantly alter the scope, objective interpretation of, or legislative intent of the purpose of the logo shall be approved by the city council. Other, less significant alterations to the logo which are standard refreshes or updates shall be executed by the mayor in consultation with the city council, but shall not require council approval. The logo shall be the primary branding mecha-nism for the city to include, but shall not be limited to use for: city vehicles, city marketing materials, city websites and related media channels, city departments, and more. The logo shall not take the place of the city seal for the purposes outlined in Section 2-2(b) of this code.
(d)The city shall also have and maintain an official city flag which consists of a white bar in the center with the city seal and with a border on either side in red.
Section 2. The section, subsections, paragraphs, sentences, clauses and phrases of this ordinance are severable. If any section, subsection, paragraph, sentence, clause and phrase of this ordinance is declared unconstitutional or invalid by a valid judgment of a court of competent jurisdiction, such judgment shall not affect the validity of any other section, subsection, paragraph, sentence, clause and phrase of this ordinance. The city council declares that it is its intent that it would have enacted this ordinance without such invalid or unconstitutional provisions.
Section 3. The provisions of this ordinance repeal any prior ordinance or provision of the Gadsden City Code to the extent of any conflict.
Section 4. This ordinance shall become effective on August 1, 2023.

Authorizing Conveyance of Certain Property
Whereas the City of Gadsden owns the Gunn-Bellenger House located at 872 Chestnut Street more particularly described as follows:
